JURIDICAL ANALYSIS OF THE ROLE OF DIRECTORS IN REALIZING GOOD CORPORATE GOVERNANCE IN LIMITED LIABILITY COMPANY BASED ON THE LAW NO.40 YEAR 2007 ABOUT LIMITED LIABILITY COMPANY

Abstract


Limited Liability Company is a Business Entity that is able to attract investors to invest their capital, Legal Entity status and as a capital association is the attraction of Limited Liability Company. The existence of Limited Liability Company is subject to Law No.40 of 2007 on Limited Liability Company. And the law has become the legal umbrella of Limited Liability Company to date. In the current era of economic globalization, the existence of limited liability companies has contributed most significantly to the national economy when compared to other legal entities. Because Limited Liability Company in carrying out and executing to the management and business activities of everyday is led by an Organ called Board of Directors. Where the Board of Directors has a central role in realizing good corporate governance are towards the Company. Practically Good Corporate Governance (GCG) is contained in Law Number 20 Year 2007 regarding Limited Liability Company which can be used as reference in conducting activities in a company in Limited Liability Company.
